Commercial Real Estate
The Firm structures, negotiates and closes a full range of real estate transactions, including acquisitions, development, disposition, financing and leasing of commercial real estate. In commercial real estate acquisitions and dispositions, the Firm assists and advises the client on all aspects of the transaction, including:

  • assessment and compliance with restrictions in leases, mortgages and other agreements
  • conducting due diligence
  • interfacing and coordinating with lenders
  • structuring the entities necessary to complete the transaction
  • title examination and resolution of title issues
  • preparation of closing instruments
  • structuring and negotiating real estate contracts and related agreements
  • reviewing and negotiating financing documents
  • closing the transaction


The Firm also has experience in:

  • Industrial Development Agency (IDA) transactions
  • U.S. Small Business Administration (SBA) loans
  • municipal development incentives
  • tax deferred like-kind exchanges under the Internal Revenue Code, Section 1031.


The Firm has counseled major corporations in the field of electronics, construction, HVAC and food and beverage wholesale distribution in the acquisition, disposal or lease of headquarter sites, manufacturing facilities and warehouse and distribution centers throughout the United States.

The Firm’s Real Estate Practice also includes the preparation and negotiation of all types of commercial and residential leases, including retail store leases, single and multi-tenant offices, industrial and residential leases.

Residential Real Estate
The Firm also has extensive experience representing residential purchasers and sellers of condominium and cooperative apartments, Homeowners Associations, new construction and single family homes. The Firm’s representation of it clients in these transactions include, where applicable:

  • preparing and negotiating the real estate contract
  • reviewing termite and other inspection reports
  • reviewing the title report and resolving title and survey issues
